1. About these Terms

1.1 These Terms of Use (the “Terms”) govern your access to and use of prive-yachts.com (the “Website”) and set out the basis on which we provide information about our vessels and charter services.

1.2 The Website is operated by Waypoint Yachts Ltd. (“Waypoint”, “we”, “us”, “our”), a company incorporated in the Turks and Caicos Islands, trading as PRIVÉ Luxury Yachts (“PRIVÉ”), of Blue Haven Marina, Providenciales, Turks and Caicos Islands, British West Indies.

1.3 By accessing or using the Website you agree to be bound by these Terms. If you do not accept them, you must not use the Website.

2. Definitions

2.1 In these Terms:

“Charter” means the hire of a Vessel, with crew, together with any associated excursions, activities and onboard services;

“Charter Agreement” means the written charter contract, confirmation or booking terms issued by us in respect of a Charter;

“Guest” means any person participating in a Charter, whether or not that person made the booking;

“Vessel” means any yacht, catamaran or other craft operated or offered for charter by us;

“you” means any person accessing or using the Website.

3. Amendments

3.1 We may amend these Terms at any time by posting a revised version on the Website. The date at the head of this document records when it was last revised.

3.2 Amendments take effect from the date of posting and apply to your use of the Website from that date. You should review these Terms periodically.

4. Use of the Website

4.1 We grant you a limited, non-exclusive, revocable licence to access and use the Website for your own personal, non-commercial purposes, subject to these Terms.

4.2 You must not:

(a) use the Website for any unlawful, fraudulent or harmful purpose, or in breach of any applicable law;

(b) copy, reproduce, republish, distribute, sell or exploit any part of the Website, or use any of its content for commercial purposes, without our prior written consent;

(c) use any automated system, robot, scraper or similar means to access, monitor or copy the Website or its content;

(d) introduce any virus, malicious code or other harmful material, or attempt to gain unauthorised access to the Website, its server or any connected system;

(e) take any action that imposes an unreasonable or disproportionate load on our infrastructure.

4.3 We may suspend, withdraw or restrict access to all or part of the Website at any time, without notice and without liability.

5. Intellectual property

5.1 All content on the Website — including text, photographs, video, graphics, layout, design, logos, trade marks, trade names and the names of our Vessels — is owned by or licensed to us and is protected by copyright, trade mark and other intellectual property laws.

5.2 The names “PRIVÉ”, “PRIVÉ Luxury Yachts” and the PRIVÉ logo are trade marks of Waypoint Yachts Ltd. No right or licence to use them is granted by these Terms.

5.3 Nothing on the Website may be reproduced or used without our prior written consent, save that you may print or download extracts for your own personal, non-commercial reference provided that no notice of ownership is removed or altered.

6. Accuracy of content

6.1 We take reasonable care to ensure that the information on the Website is accurate at the time of publication. However, the Website is provided for general information and promotional purposes only.

6.2 Vessel specifications, dimensions, capacities, crew numbers, equipment, photographs, itineraries, destinations, activities and rates are indicative and subject to change without notice. Photographs and video are illustrative and may not depict the specific Vessel, equipment, crew, provisioning or conditions applicable to your Charter.

6.3 No information on the Website forms part of any contract unless expressly incorporated into a Charter Agreement in writing. In the event of any inconsistency between the Website and a Charter Agreement, the Charter Agreement prevails.

7. Enquiries, quotations and bookings

7.1 Nothing on the Website constitutes an offer capable of acceptance. Rates, availability, vessels and dates displayed or quoted are invitations to treat and are subject to confirmation and to availability at the time of booking.

7.2 Submitting an enquiry form, requesting availability or receiving a quotation does not create a booking and does not oblige either party to enter into a Charter.

7.3 A binding contract arises only when we issue a written confirmation of booking and any required deposit has been received by us in cleared funds.

7.4 Each Charter is governed by the applicable Charter Agreement and by our Cancellation Policy, which are provided or made available to you before booking and which take precedence over these Terms in respect of the Charter.

8. Guest obligations

8.1 The person making a booking warrants that they are at least 18 years of age, have authority to contract on behalf of every Guest in the party, and is responsible for the acts and omissions of those Guests.

8.2 Guests must provide accurate information as to the number of persons in the party, and must disclose in advance any medical condition, allergy, dietary requirement, disability or limitation on mobility that may affect their safety or the arrangements for the Charter.

8.3 Guests are responsible for holding valid travel documents, visas and insurance, including insurance covering personal accident, medical expenses, repatriation and cancellation. We strongly recommend that all Guests obtain comprehensive travel and medical insurance before travelling.

8.4 Guests must comply at all times with the instructions of the captain and crew, with all applicable maritime, environmental, marine-park, customs and immigration regulations, and with the rules of any marina or facility visited.

9. Marine activities and assumption of risk

9.1 Boating, swimming, snorkelling, SCUBA diving, sport fishing, jet skiing, SEABOB use, watersports and other marine and excursion activities carry inherent risks, including risks of drowning, injury, illness, marine life, collision, adverse weather and sea conditions, which cannot be wholly eliminated.

9.2 Participation in any such activity is voluntary and at the Guest’s own risk. By participating, each Guest acknowledges and accepts those inherent risks.

9.3 Guests must satisfy themselves that they are physically fit and competent to participate in any activity they undertake, must hold any certification required for that activity, and must use all safety equipment provided and follow all safety briefings and instructions.

9.4 Certain activities may be provided by independent third-party operators. Where that is the case, those activities are supplied subject to that operator’s own terms, and we act only as an intermediary in arranging them.

10. Authority of the captain

10.1 The captain of the Vessel has absolute discretion in all matters affecting the safety of the Vessel, its crew and its Guests.

10.2 The captain may at any time, without liability, alter or curtail an itinerary, change or cancel a destination or activity, or return the Vessel to port, where in the captain’s judgement weather, sea state, mechanical condition, the conduct of any person on board or any other circumstance makes it prudent to do so.

10.3 The captain may refuse to embark, or may disembark at the nearest safe port, any person who in the captain’s reasonable opinion is under the influence of alcohol or drugs, is behaving in a manner that is dangerous, unlawful or offensive, or is otherwise in breach of clause 8. No refund is payable in those circumstances.

11. Third-party links and services

11.1 The Website may contain links to third-party websites and services. Those links are provided for convenience only. We do not control, endorse or accept responsibility for the content, products, services or privacy practices of any third party, and access is at your own risk.

12. Disclaimer

12.1 The Website and its content are provided “as is” and “as available”. To the fullest extent permitted by law, we exclude all representations, warranties, conditions and terms, whether express or implied, including as to accuracy, completeness, fitness for purpose, merchantability and non-infringement.

12.2 We do not warrant that the Website will be uninterrupted, timely, secure or free from error, viruses or other harmful components, and we accept no liability for loss or damage caused by any distributed denial-of-service attack, virus or other technologically harmful material.

13. Limitation of liability

13.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

13.2 Subject to clause 13.1, and to the fullest extent permitted by law, we shall not be liable to you for:

(a) any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of data, or loss of enjoyment;

(b) any indirect, special or consequential loss or damage, however arising; or

(c) any loss or damage arising from your reliance on information published on the Website.

13.3 Subject to clause 13.1, our total aggregate liability arising out of or in connection with your use of the Website shall not exceed one hundred United States dollars (US$100). Our liability in connection with a Charter is governed by the applicable Charter Agreement and not by this clause.

13.4 We are not liable for the loss of, or damage to, personal property brought on board a Vessel, except where caused by our negligence.

14. Indemnity

14.1 You agree to indemnify us against all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your unlawful or negligent use of the Website.

15. Privacy

15.1 Personal data submitted through the Website is handled in accordance with our Privacy Policy, which forms part of these Terms.

16. Force majeure

16.1 We are not liable for any failure or delay in performing our obligations where that failure or delay results from circumstances beyond our reasonable control, including adverse weather, hurricanes and named storms, sea conditions, act of God, fire, flood, epidemic or pandemic, war, civil unrest, terrorism, strike, governmental action, port or marina closure, restrictions on travel, failure of utilities or communications, or mechanical breakdown.

17. General

17.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force.

17.2 Waiver. No failure or delay by us in exercising any right under these Terms operates as a waiver of that right.

17.3 Entire agreement. These Terms, together with our Privacy Policy and Cancellation Policy, constitute the entire agreement between you and us in relation to your use of the Website.

17.4 Assignment. You may not assign or transfer your rights under these Terms. We may assign or transfer ours without your consent.

17.5 Third parties. No person who is not a party to these Terms has any right to enforce any of their provisions.

18. Governing law and jurisdiction

18.1 These Terms, their subject matter and their formation are governed by the laws of the Turks and Caicos Islands.

18.2 The courts of the Turks and Caicos Islands have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms.
